These Terms and Conditions govern access to and use of the CareAssist platform and related subscription services.

Acceptance of the Terms
These Terms and Conditions govern your access to and use of the CareAssist website, applications, and related services, including subscription, billing, storage, and support features. By creating an account, accessing the platform, or using any part of the Services, you agree to be bound by these Terms.
If you use the Services on behalf of a company, practice, or other organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Services.
Eligibility and account security
You may use the Services only if you can form a binding agreement and are legally permitted to use the Services under applicable law. You are responsible for all activity that occurs under your account or within your organization's workspace.
You agree to:
- Provide accurate, current, and complete registration and account information.
- Keep account credentials confidential and promptly notify us of any suspected unauthorized use.
- Ensure that each person accessing the Services through your organization is properly authorized.
Subscriptions, billing, and payment
Certain parts of the Services require a paid subscription. By purchasing a subscription, you agree to pay all fees, taxes, and other charges presented at checkout or otherwise communicated to you, using a valid payment method.
You acknowledge and agree that:
- Fees, billing intervals, plan limits, included usage, and overage charges are described in the applicable plan, checkout, invoice, or subscription interface.
- Subscriptions may renew automatically unless canceled in accordance with the applicable billing flow. Canceling a subscription typically stops future renewals but does not retroactively reverse amounts already billed or accrued, except where required by law or expressly approved by CareAssist.
- We may use third-party payment processors, including Paddle, to manage billing, taxes, invoicing, and payment collection. Your use of those billing flows may also be subject to the processor's terms and privacy practices.
Acceptable use
You must use CareAssist only for legitimate internal business purposes and in compliance with applicable law, professional obligations, and these Terms.
The following activities are prohibited and may lead to suspension or termination.
- Use the Services to violate law, infringe rights, or interfere with the privacy, security, or operations of others.
- Upload malicious code, attempt unauthorized access, bypass technical restrictions, or test the platform for vulnerabilities without authorization.
- Use the Services to transmit unlawful, deceptive, harmful, or abusive content, or to store information you are not authorized to manage.
- Resell, sublicense, reverse engineer, copy, or exploit the Services beyond the rights expressly granted under these Terms, except where restrictions are prohibited by law.
Customer data and responsibilities
You retain responsibility for the accuracy, legality, quality, and rights associated with the data you or your authorized users submit to the Services. You represent that you have all permissions, notices, consents, and authorizations needed to collect, upload, store, and manage that data through CareAssist.
CareAssist may process customer data as needed to provide the Services, maintain security, comply with law, and enforce these Terms. We do not assume responsibility for customer decisions regarding clinical, operational, or regulatory handling of records created or stored in the platform.
Professional and healthcare disclaimer
CareAssist is a software platform for practice management and operational workflows. It is not medical advice, legal advice, or a substitute for professional judgment, clinical assessment, diagnosis, treatment planning, or regulatory review.
You are solely responsible for how you use the Services in your professional environment, including the accuracy of patient or clinical information, the appropriateness of treatment decisions, and compliance with any professional, privacy, or healthcare-related obligations that apply to your organization.
Intellectual property
CareAssist and its licensors retain all right, title, and interest in and to the Services, including software, designs, workflows, trademarks, logos, content, and all related intellectual property rights. These Terms grant only a limited, revocable, non-exclusive, non-transferable right to use the Services in accordance with the subscription purchased.
Except as expressly permitted, you may not copy, modify, create derivative works of, distribute, sell, lease, sublicense, or commercially exploit any part of the Services or associated materials.
Availability, maintenance, and service changes
CareAssist may update, improve, suspend, or discontinue any part of the Services at any time, with or without notice, where reasonably necessary for security, maintenance, legal compliance, commercial reasons, or service evolution.
We aim to provide a reliable service, but we do not guarantee uninterrupted or error-free availability. Scheduled or emergency maintenance, third-party outages, internet failures, and other events outside our reasonable control may affect access or performance.
Disclaimers and limitation of liability
To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
To the fullest extent permitted by applicable law, CareAssist will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, revenue, goodwill, business opportunities, or service interruption arising out of or related to the Services. Our aggregate liability relating to the Services will not exceed the amount paid by you to CareAssist for the Services during the twelve months preceding the event giving rise to the claim, except where a lower or higher limitation is required by law.
Suspension and termination
You may stop using the Services at any time and may cancel eligible subscriptions through the available account or billing flow. CareAssist may suspend or terminate access, remove content, or restrict functionality if we reasonably believe you have breached these Terms, created security or legal risk, failed to pay applicable fees, or otherwise used the Services in a harmful or unauthorized manner.
Termination or suspension does not affect rights or obligations that by their nature should survive, including payment obligations already incurred, intellectual property protections, disclaimers, liability limitations, audit or compliance obligations, and dispute-related provisions.
Changes to these Terms
We may update these Terms from time to time. When we do, we may revise the effective date above and, where appropriate, provide notice through the platform or by email.
Your continued use of the Services after updated Terms become effective means you accept the revised Terms, subject to any rights you may have under applicable law.
